  1. Unauthorized Access and Interference: Bypass, disable, circumvent, or otherwise interfere with any security-related features of the Site, or attempt to gain unauthorized access to any portion or feature of the Site, any other systems or networks connected to the Site, or to any of the services offered on or through the Site, by hacking, password "mining," or any other illegitimate means.
  2. Automated Scraping and Data Extraction: Employ any robot, spider, crawler, deep-link, scraper, or any other automated device, program, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Site or any of its proprietary content without the express, prior written consent of the Company.
  3. Prohibition on Artificial Intelligence Training: Utilize any content, technical specifications, architectural diagrams, text, code snippets, or underlying data accessible on the Site for the purpose of developing, training, fine-tuning, evaluating, or enriching any artificial intelligence (AI) systems, machine learning (ML) algorithms, neural networks, or large language models (LLMs). The Company strictly reserves all rights concerning text and data mining operations.
  4. Reverse Engineering and Decompilation: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organizational form of any software, application, or functional mechanism comprising the Site or the solutions described therein.
  5. Commercial Exploitation: Reproduce, duplicate, copy, sell, resell, distribute, publicly display, or otherwise exploit for any commercial purpose any portion of the Site or its contents without a formal, written licensing agreement or Master Services Agreement executed by authorized representatives of the Company.
  6. Misrepresentation: Impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, or obscure the origin of any communication or data transmitted to the Company through the Site.
3. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

All intellectual property rights inherent in the Site and its entire contents, features, and functionality—including, without limitation, all information, software, object code, source code, text, displays, graphics, technical diagrams, flowcharts, architectural concepts, audio, video, logos, service marks, trademarks, trade secrets, and the overarching design, selection, and arrangement thereof—are owned exclusively by Mobile Group Ltd., its licensors, or other authorized providers of such material.

These proprietary assets are stringently protected by the laws of the State of Israel, international copyright treaties, trademark laws, patent laws, and other intellectual property rights and unfair competition laws. The "Mobile-Group" brand name, the Company logo, and all related names, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You are strictly prohibited from utilizing such marks without the prior written permission of the Company. No right, title, or interest in or to the Site or any content on the Site is transferred to you, either implicitly, by estoppel, or otherwise. Any use of the Site not expressly permitted by these Terms constitutes a material breach of this agreement and may subject you to severe civil and criminal penalties.

4. NO RELIANCE ON TECHNICAL AND ENGINEERING DATA

The technical content, engineering methodologies, software architecture descriptions, automotive solution models, and embedded systems frameworks presented on the Site are provided for general informational, illustrative, and marketing purposes only.

No Professional Engineering Advice: The information provided herein does not constitute, and shall not be construed as, binding engineering, technical, legal, financial, or professional advice. The Company makes no representations, warranties, or guarantees that the methodologies, configurations, or solutions described on the Site are accurate, complete, currently updated, or tailored to your specific operational requirements, hardware environments, or regulatory compliance frameworks.

No Contractual Offer: The description of capabilities and services on the Site does not constitute a legally binding offer to contract. Any formal project engagement, software development lifecycle, or systems integration requires the mutual execution of a separate Master Services Agreement (MSA), Statement of Work (SOW), or Software License Agreement (SLA) that will exclusively govern the commercial, technical, and liability relationship between the parties. The Company disclaims all liability and responsibility arising from any reliance placed on such materials by you or by any third party informed of its contents.

5. MISSION-CRITICAL AND SAFETY-OF-LIFE DISCLAIMER

Mobile Group Ltd. provides advanced technological solutions spanning the automotive, communications, and embedded sectors. Notwithstanding the foregoing, unless explicitly defined, authorized, and warranted within a separate, fully executed, and customized commercial contract containing specific liability allocations, no software, code snippets, architectural models, or technical data displayed, distributed, or referenced on this Site are designed, intended, or authorized for use in "Mission-Critical" or "Safety-of-Life" applications.

For the explicit purposes of these Terms, "Safety-of-Life" and "Mission-Critical" applications are defined as systems or environments where a failure, defect, latency, or malfunction of the software or technology could lead directly to death, personal injury, severe physical or environmental damage, or catastrophic financial loss. This includes, but is not limited to:

  • Autonomous vehicle navigation, advanced driver-assistance systems (ADAS), and critical vehicle telematics controls;
  • Aviation, aerospace, satellite communication, and air traffic control systems;
  • Medical life-support equipment, diagnostic medical devices, or surgical robotics;
  • Nuclear facility operations, power grid management, and hazardous material containment systems;
  • Military combat systems or GPS-denied navigation infrastructure.

By utilizing any information from, or interacting with, the Site, you unequivocally acknowledge and agree that the Company expressly disclaims any and all liability, whether in contract, tort (including negligence), strict liability, or otherwise, arising from the unauthorized deployment of its public-facing materials or concepts in such high-risk environments. Any such unauthorized use is conducted entirely at your sole and exclusive risk, and you agree to fully indemnify the Company against any claims arising from such prohibited use.

6. EXPORT CONTROL AND DUAL-USE SANCTIONS COMPLIANCE

As a corporate entity operating under the sovereign laws of the State of Israel, Mobile Group Ltd. is strictly bound by domestic and international regulatory frameworks governing the export of software, technical data, technology, and dual-use items. This compliance mandate includes, without limitation, the Israeli Defense Export Control Act (2007), the Import and Export Ordinance, and the regulatory directives administered by the Israeli Ministry of Economy and Industry and the Ministry of Defense. Furthermore, the electronic transmission of controlled software and technology to foreign nationals, even within the borders of Israel, may constitute a "deemed export" subject to stringent licensing requirements.

By accessing the Site, downloading any materials, or acquiring any technical data from the Company, you represent, warrant, and continuously covenant that:

  1. You are not located in, under the control of, or a national or resident of any country or territory that is subject to comprehensive economic sanctions, embargoes, or trade restrictions imposed by the State of Israel, the United States Government (including the Office of Foreign Assets Control - OFAC), the European Union, or the United Nations Security Council.
  2. You are not identified on any restricted party lists, including the U.S. Department of Commerce’s Denied Persons List or Entity List, or any similar registry maintained by Israeli or international authorities.
  3. You will not export, re-export, transfer, transmit, or otherwise divert (including via electronic, digital, or physical transmission) any software, technical data, algorithms, or technology acquired from the Company to any restricted destination, prohibited end-user, or for any restricted end-use. This explicitly prohibits the application of such technology in the design, development, production, or stockpiling of nuclear, chemical, or biological weapons, or missile delivery systems.
  4. You unconditionally accept full, primary responsibility for complying with all applicable domestic and international export control laws and regulations pertaining to your access and use of the Site and its contents. You agree to indemnify the Company for any fines, penalties, or legal costs incurred as a result of your failure to adhere to these export control obligations.
7. PRIVACY, DATA PROTECTION, AND COMMUNICATIONS

The Company prioritizes the protection of your privacy and the secure processing of personal data provided through the Site. All collection, storage, processing, and cross-border transfer of personal data—including information submitted via "Contact Us" forms, career portals, or client inquiry channels—are governed by our comprehensive Privacy Policy, which is accessible on the Site and incorporated into these Terms by reference.

AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND QUIET ENJOYMENT.

THE COMPANY MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE THAT THE SITE OR ITS CONTENTS WILL BE COMPLETE, ACCURATE, RELIABLE, ERROR-FREE, SECURE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVERS HOSTING IT ARE FREE OF VIRUSES, TROJAN HORSES, WORMS, MALWARE, OR OTHER TECHNOLOGICALLY HARMFUL COMPONENTS, OR THAT THE SITE WILL OTHERWISE MEET YOUR SPECIFIC NEEDS OR EXPECTATIONS. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISPRUDENTIAL LAW, IN NO EVENT SHALL MOBILE GROUP LTD., ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL OR EQUITABLE THEORY (INCLUDING BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, OR SUCH OTHER WEBSITES.

THIS COMPREHENSIVE LIMITATION EXPLICITLY EXCLUDES LIABILITY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF BUSINESS OR CONTRACTS, LOSS OF ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, AND LOSS, CORRUPTION, OR THEFT OF DATA, EVEN IF SUCH DAMAGES WERE FORESEEABLE OR IF THE COMPANY HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If, notwithstanding the absolute disclaimers and limitations set forth above, a court of competent jurisdiction determines that the Company is liable to you for any damage, loss, or injury which arises out of or is in any way connected with your use of the Site, the Company's total, cumulative, and aggregate liability shall in no event and under no circumstances exceed the greater of: (a) the total amount of fees actually paid by you to the Company specifically for the provision of services during the six (6) month period immediately preceding the event giving rise to the initial claim, or (b) One Hundred U.S. Dollars ($100.00 USD). This limitation constitutes a fundamental element of the basis of the bargain between you and the Company.

10. INDEMNIFICATION

You irrevocably agree to defend, indemnify, and hold harmless Mobile Group Ltd., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable and actual attorneys' fees and court costs) arising out of or directly or indirectly relating to: (i) your violation or breach of any provision of these Terms; (ii) your unauthorized use of the Site or its contents; (iii) your violation of any applicable domestic or international laws, including export control regulations; (iv) your infringement or misappropriation of any intellectual property rights of the Company or any third party; or (v) any willful misconduct or gross negligence on your part.

11. MODIFICATION OF TERMS AND RIGHT OF REFUSAL

Dynamic Modifications: The Company reserves the unilateral right to revise, amend, update, or modify these Terms at any time and at its sole discretion, without providing prior individual notice. All changes become effective immediately upon being posted on the Site and shall apply to all subsequent access to and use of the Site. It is your responsibility to review these Terms periodically. Your continued use of the Site following the posting of revised Terms constitutes your definitive acceptance of and agreement to the modifications.

Clerical Errors and Service Modification: The Company endeavors to maintain accurate information on the Site; however, errors may occur. The Company explicitly reserves the right to correct any clerical errors ( טעות קולמוס ), inaccuracies, or omissions. Furthermore, the Company retains the absolute right to revoke any stated offer, cancel exploratory engagements, or refuse to provide services resulting from a typographical mistake, pricing error, or systemic malfunction on the Site, regardless of whether preliminary negotiations have commenced. We further reserve the right to withdraw or amend the Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site is unavailable at any time or for any period.

12. GOVERNING LAW AND EXCLUSIVE JURISDICTION

All matters relating to the Site, the interpretation of these Terms, and any dispute or claim arising therefrom or related thereto (including non-contractual disputes or claims sounding in tort or equity), shall be governed by and construed strictly in accordance with the internal laws of the State of Israel, without giving effect to any choice or conflict of law provision, principle, or rule (whether of the State of Israel or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Israel.

Any legal suit, action, litigation, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the competent courts located Central District, Israel, where the Company’s offices are situated (Petah Tikva). By utilizing the Site, you irrevocably and unconditionally submit to the exclusive jurisdiction of such courts and waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue in such courts, including any defense based on forum non conveniens.

13. MISCELLANEOUS PROVISIONS

13.1. Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining valid provisions of the Terms will continue in full force and effect.

13.2. No Waiver: No waiver by the Company of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Furthermore, any failure or delay of the Company to assert a right, exercise a remedy, or enforce a provision under these Terms shall not constitute a waiver of such right or provision.

13.3. Force Majeure: The Company shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any term herein when and to the extent such failure or delay is caused by or results from acts beyond the Company's reasonable control, including, without limitation, acts of God, flood, fire, earthquake, war, terrorism, cyber-attacks, sovereign embargoes, labor strikes, or systemic telecommunication breakdowns.

13.4. Entire Agreement: These Terms, in conjunction with our Privacy Policy, constitute the sole, complete, and entire agreement between you and Mobile Group Ltd. regarding your use of the Site. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.
